Donald Trump Jr., Pilot Family Lead $1.3 Million Investment in PSQ Holdings

PSQ Holdings (NYSE: PSQH) has closed a private investment in public equity financing that raised approximately $1.3 million in gross proceeds, with Donald Trump Jr., members of the Pilot family and other eligible directors participating with personal capital.

The company issued 361,388 shares of Class A common stock at $3.60 per share, a slight premium to PSQ Holdings’ August 12 closing price of $3.58.

No warrants, pre-funded warrants or other derivative securities were included in the transaction, making the financing a straightforward common-equity investment.

PSQ Holdings Directors Invest Personal Capital

PSQ Holdings said every eligible member of its Board of Directors participated in the private placement.

The company framed the participation as a demonstration of confidence in management’s strategy and recently issued full-year guidance.

Blake Masters, PSQ Holdings’ Lead Independent Director, said the board evaluated the financing by asking whether it believed management could deliver on the targets it had recently presented to shareholders.

“Our answer was unanimous: yes,” Masters said, adding that eligible directors backed that view by investing their own money in common equity.

The board’s participation at a premium to the latest closing market price is intended to reinforce alignment between directors and shareholders.

Financing Priced at $3.60 Per Share

At closing, PSQ Holdings issued an aggregate of 361,388 Class A common shares at $3.60 each.

That price represented a modest premium to the company’s August 12 closing price of $3.58.

The company expects to have approximately 4,356,348 shares issued and outstanding after taking into account the shares sold through the private placement.

Because the transaction did not include warrants or other derivative instruments, the financing avoids the additional potential dilution that can come from securities exercisable at a later date.

Board Points to Cost Cuts and Improving Operations

Masters highlighted a series of recent operational changes as reasons behind the board’s confidence in the company.

He said management had divested non-core assets, reduced costs without sacrificing operating capability and increased merchant signings.

PSQ Holdings also recently reported what Masters described as the first quarter of positive non-GAAP operating income in the company’s history.

The board views those developments as evidence that the business is moving in a more favorable direction following restructuring efforts.

PSQ Holdings Reinforces Confidence in Full-Year Guidance

The investment comes roughly three weeks after PSQ management issued specific full-year guidance and publicly asked shareholders to judge the team against those targets.

By investing directly in the latest financing, directors are placing personal capital behind the company’s stated outlook.

PSQ Holdings said the private placement generated approximately $1.3 million before fees and expenses, providing additional capital as the company continues executing on its operating plan.
