cbdMD Twinlab Acquisition Targets $30 Million Revenue Base

cbdMD Twinlab acquisition plans call for cbdMD Inc. to purchase the operating assets and brands of Twinlab through an assignment for the benefit of creditors proceeding, subject to court approval and customary closing conditions. The company said in its Current Report on Form 8-K that the deal includes the Twinlab, Reserveage, Metabolife and Alvita Tea brands.

cbdMD said the combined businesses generated approximately $30 million in unaudited trailing 12-month revenue through June 2026. That would be about 40% above cbdMD’s standalone revenue for the same period, according to the company. It cautioned that the figure is illustrative and not an indication of future results.

cbdMD Twinlab Acquisition Broadens Wellness Brand Portfolio

The proposed purchase would expand cbdMD beyond hemp-derived products into supplements, sports nutrition, weight management, longevity, beauty and functional wellness. Twinlab was founded in 1968 and, according to cbdMD, has distribution across roughly 50,000 retail outlets as well as an Amazon presence.

Management said it expects the acquired operations to make a positive contribution after transaction and integration costs. The company also said the deal could reduce its revenue concentration in hemp products amid an evolving regulatory environment for hemp-derived goods.

Completion remains contingent on court approval and other closing conditions. cbdMD said risks include obtaining required approval, integrating the assets, retaining employees and commercial relationships, and the possibility that unaudited financial information for the acquired brands could prove inaccurate.
