Hillman Solutions Corp. said it completed its Kanebridge acquisition for approximately $315 million, subject to customary adjustments, expanding the hardware supplier into U.S. industrial fastener master distribution.
According to Hillman’s SEC filing, Kanebridge supplies more than 44,000 commercial- and military-grade fastener stock-keeping units to distributors in the United States and Canada. Hillman said the deal gives it its first U.S. master-distribution platform in the industrial fastener market.
Kanebridge Acquisition Expands Industrial Distribution Reach
Hillman said the transaction expands its industrial addressable market to approximately $3 billion. Chief Executive Officer Jon Michael Adinolfi described Kanebridge as a strategic acquisition that diversifies Hillman’s customer base and broadens its presence in the industrial distribution channel.
The company funded the purchase with balance-sheet cash, a draw on its existing asset-based revolving credit facility, and a new $200 million term loan B priced at SOFR plus 200 basis points. Hillman said Kanebridge has warehouses in Illinois and California and offers same-day shipment on its product range.
Hillman cautioned that expected benefits from the Kanebridge acquisition, including integration and anticipated synergies, are forward-looking and may not be fully realized or may take longer than expected. The company identified economic conditions, supply-chain costs, competition, customer concentration and regulatory changes among factors that could affect results.
