The Ingram Micro secondary offering covers 13.125 million shares being sold by Ingram Holdco, an affiliate of Platinum Equity.
Ingram Micro (NYSE: INGM) said it is not issuing shares in the transaction and will not receive any of the proceeds. Goldman Sachs is acting as the sole underwriter.
Ingram Micro Secondary Offering Includes Share Repurchase
The company intends to repurchase 625,000 shares from the underwriter as part of the transaction. The purchase price per share will equal the price paid by the underwriter to the selling stockholder, and the underwriter will not receive compensation for the repurchase.
A secondary offering changes the ownership and tradable supply of existing shares but does not raise operating capital for Ingram Micro. The associated repurchase would offset a portion of the shares entering the market, subject to the offering’s completion and final terms.
