Microsoft CEO Satya Nadella Sells $42.9 Million of Stock

The Satya Nadella stock sale involved 85,485 Microsoft shares with aggregate proceeds of approximately $42.9 million, according to a regulatory filing.

Microsoft (Nasdaq: MSFT) disclosed the transactions in a Form 4 filed with the U.S. Securities and Exchange Commission. The shares were sold on September 1 across multiple trades at weighted-average prices ranging from approximately $499.45 to $505.20.

The filing showed that Nadella retained approximately 486,763 shares through direct ownership after the transactions. It also listed additional indirect holdings through grantor retained annuity trusts.

Satya Nadella Stock Sale Was Made Under a Trading Plan

The transactions were executed under a Rule 10b5-1 trading plan adopted on March 8, 2026. These plans allow corporate insiders to arrange future trades under predetermined instructions when they are not in possession of material nonpublic information.

Because the sale was scheduled under an existing plan, it should not automatically be interpreted as a new assessment by Nadella of Microsoft’s valuation or business outlook. Executive stock sales can also reflect diversification, tax planning or personal liquidity needs.

Investors may nevertheless monitor the size and timing of insider transactions alongside executive ownership and compensation disclosures. The Form 4 provides the transaction data but does not state Nadella’s personal reason for adopting the plan or selling the shares.
